Tin Can Community Fundraiser Program

Program Terms and Conditions

Last updated: September 7, 2026

1. Program Overview

Tin Can Untechnologies (“Tin Can,” “we,” “us,” or “our”) has established the Tin Can Community Fundraiser Program (the “Program”) to support parent-teacher associations, parent-teacher organizations, and other eligible kid-affiliated nonprofit groups (each, an “Organization”) that are recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code (or a subordinate organization under a valid group exemption). Approved Organizations receive a unique link (a “Fundraiser Link”) to share with their own community of parents, guardians, teachers, staff, alumni, and other supporters (“Supporters”). When a Supporter uses the Organization’s Fundraiser Link to complete an eligible purchase of a Tin Can phone, Tin Can will donate ten percent (10%) of the Net Sales Price (defined below) to the Organization.

2. Agreement to the Terms

By submitting an application, distributing a Fundraiser Link, or otherwise participating in the Program, an Organization and its authorized representative agree to be bound by these Program Terms and Conditions (these “Terms”). The Organization and its authorized representative also represent and warrant that the Organization (a) has and will maintain all necessary licenses, registrations, and permits to participate in the Program, (b) will submit any filings it is required to submit with state authorities, and (c) will comply with all laws and regulations (including submitting any necessary filings with state authorities) applicable to the Organization in connection with its participation.

This Program is distinct from, and does not modify, Tin Can’s Terms of Service and Privacy Policy, which continue to apply to all purchases made through tincan.com or the Tin Can app.

3. Changes to these Terms or the Program

Tin Can may modify these Terms, or suspend, modify, limit, or terminate the Program or any Organization’s participation in it, at any time, with or without cause or notice, in its sole discretion. This includes, without limitation, adding or removing Program Locations, or limiting the number of Organizations or fundraisers within a Program Location.

If Tin Can terminates the Program generally or an Organization’s participation, Tin Can will pay out donations earned prior to the effective date of termination in accordance with these Terms.

4. Eligibility

To participate in the Program, an Organization must:

  • Be a parent-teacher association or parent-teacher organization affiliated with a K-12 public, private or charter school, or be another eligible kid-affiliated nonprofit organization (such as kids’ camps, activity centers, etc.), in the locations listed here (“Program Locations”).
  • Currently hold valid tax-exempt status under Section 501(c)(3) of the Internal Revenue Code, either directly or as a local unit recognized under a group exemption held by a state or national parent organization (e.g., National PTA), and provide a valid IRS Employer Identification Number (EIN) and a copy of its IRS determination letter or group exemption letter matching the Organization’s legal name.
  • Designate an authorized representative who is at least 18 years old and authorized to act, and to accept these Terms, on the Organization’s behalf;
  • Maintain a bank account in its own name that can receive earned donations;
  • Complete the application process described in Section 5; and
  • Provide additional information or execute additional documents that Tin Can may reasonably request.

Tin Can may independently verify an Organization’s tax-exempt status and may approve, decline, or revoke eligibility at any time, in its sole discretion, including if Tin Can is unable to verify the information the Organization provides.

The Program is not available to support individual scholarships, medical expenses, travel, or other individual fundraising needs; for-profit ventures; political campaigns or lobbying organizations; organizations organized primarily for religious instruction or worship; or any cause or organization Tin Can deems unsuitable in its sole discretion.

Tin Can will not approve or continue to support an Organization that discriminates against any person or group on the basis of race, color, national origin, religion, sex, gender identity, sexual orientation, age, or disability.

5. Application and Approval Process

To apply for the Program, complete the application form. We will review each application and endeavor to respond within 10 business days. We may request additional documentation before approving an application and may decline any application for any lawful reason. If your application is approved for a particular event, the approval is valid only on the date(s) and at the location(s) specified in the Organization’s approved application.

Upon approval, Tin Can will issue the Organization a Fundraiser Link. We may also provide marketing resources and guidelines in addition to those described in these Terms.

6. Fundraiser Links

The Fundraiser Link is issued to, and may be used only by, the approved Organization. The Organization agrees that it will:

  • Share its Fundraiser Link only within its own Supporter network — for example, by email, school newsletter, direct message, or private social media group or page; and
  • Not post, publish, or otherwise distribute its Fundraiser Link on any publicly searchable website, coupon or deal-aggregation site, forum, or public social media post, or provide it to any person or entity outside its Supporter network.

To count toward the Organization’s Program totals, a Supporter must check out using the Fundraising Link at the time of purchase.

Tin Can may deactivate a Fundraiser Link, or decline to count purchases toward an Organization’s total, if Tin Can reasonably suspects fraudulent activity or believes the link has been shared or used in violation of these Terms.

7. License Grant

Subject to these Terms, the Organization and Tin Can (each, a “Licensor”) grants to the other party (each, a “Licensee”) limited, non-exclusive, revocable right and permission to use Licensor’s name, trademarks, logos, and other materials expressly provided by Licensor solely for the purpose of this Program. No right, title, or interest, except the license granted pursuant to this Section, is transferred to Licensee by these Terms. Any goodwill arising from the Licensee’s use of the licensed properties hereunder inures solely to the benefit of the Licensor.

8. Program Restrictions and Guidelines

  • The Organization may use only the marketing materials, trademarks, and logos Tin Can provides or expressly approves, and only in the manner Tin Can authorizes; the Organization may not otherwise use Tin Can’s name, marks, or logos without prior written consent.
  • The Organization may not state or imply that Tin Can endorses the Organization, its mission, or any cause beyond the Program itself.
  • The Organization may not purchase paid advertising (including search, social, or display ads) featuring its Fundraiser Link without Tin Can’s prior written consent.
  • Tin Can may deactivate a Fundraiser Link, withhold or deduct otherwise-earned donation amounts attributable to improper use, and/or remove an Organization from the Program for violation of these Terms.

9. Donations and Payments

“Net Sales Price” means the actual purchase price paid by a Supporter for an eligible Tin Can phone using the Organization’s Fundraiser Link, excluding: sales tax and other government charges; shipping and handling; service plans or subscription fees; accessories; and any amount later refunded, credited, or charged back.

Tin Can’s order and sales records are final and binding for purposes of calculating an Organization’s donation total. If a qualifying order is later cancelled, returned, refunded, or charged back, the corresponding donation amount will be deducted from the Organization’s accrued or paid donation total.

Tin Can will pay earned donations to the Organization ten (10) business days after the conclusion of the Organization’s participation in the Program by ACH/direct deposit, payable to the Organization’s legal name as provided in its application. Tin Can is not responsible for delayed or misdirected payments resulting from incomplete or inaccurate information provided by the Organization. Unless otherwise agreed to in writing by Tin Can, the maximum in earned donations that an Organization can receive is US $10,000.

10. Taxes

Each Organization is solely responsible for determining the tax treatment and reporting of donations it receives and should consult its own tax advisor. Nothing in these Terms constitutes tax advice from Tin Can. Donations are paid by Tin Can directly to the Organization and do not reduce the purchase price paid by any individual Supporter. Organization agrees to provide a donation letter and any other documentation reasonably requested by Tin Can in connection with the Program.

11. Indemnification

To the fullest extent permitted by applicable law, the Organization will indemnify, defend, and hold harmless Tin Can and our officers, directors, agents, partners, and employees (individually and collectively, the “Tin Can Parties”) from and against any losses, liabilities, claims, demands, damages, expenses or costs (“Claims”) arising out of or related to (a) your violation of these Terms; (b) your violation, misappropriation, or infringement of any rights of another (including intellectual property rights or privacy rights); or (c) your conduct in connection with the Program.

12. Limitation of Liability

TIN CAN’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE PROGRAM IS LIMITED TO THE AMOUNT OF DONATION ACTUALLY EARNED AND UNPAID TO THE ORGANIZATION.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TIN CAN AND THE OTHER TIN CAN PARTIES WILL NOT BE LIABLE TO THE ORGANIZATION UNDER ANY THEORY OF LIABILITY—WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, OR OTHERWISE—FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, PUNITIVE, OR SPECIAL DAMAGES OR LOST PROFITS, EVEN IF TIN CAN OR THE OTHER TIN CAN PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE LIMITATIONS SET FORTH IN THIS SECTION WILL NOT LIMIT OR EXCLUDE LIABILITY FOR THE GROSS NEGLIGENCE, FRAUD, OR INTENTIONAL MISCONDUCT OF TIN CAN OR THE OTHER TIN CAN PARTIES OR FOR ANY OTHER MATTERS IN WHICH LIABILITY CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. ADDITIONALLY, SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO THE ORGANIZATION.

13. Dispute Resolution and Governing Law

This Agreement shall be governed and construed in accordance with the laws of the State of Washington without regard to conflicts of laws principles. Any legal action arising out of or relating to these Terms shall be brought in the federal or state courts located in King County, Washington. The parties hereby submit to the personal jurisdiction of, and waive any objections to venue in, the federal and state courts located in King County, Washington.

14. General Provisions

These Terms, together with Tin Can’s general Terms of Service and Privacy Policy (incorporated by reference), constitute the entire agreement between the Organization and Tin Can regarding the Program. The Organization may not assign or transfer its participation in the Program, or any Fundraiser Link, without Tin Can’s prior written consent. Participation in the Program does not establish any agency, partnership, or employment relationship between the participant and Tin Can. Organizations have no authority to bind or make commitments on behalf of Tin Can. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Tin Can’s failure to enforce any provision of these Terms is not a waiver of its right to do so later.
